These Terms of Service (“Terms”) govern your access to and use of the services provided by
MedWriters (“MedWriters,” “we,” “us,” or “our”). By placing an order, accessing our
website, or using our services, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our services.
1. Services Overview
MedWriters provides professional medical writing services, including but not limited to:
- Executive summaries
- Protocol-derived job aids
- Standard operating procedure (SOP) drafts
- Other medical or clinical documentation
All services are provided on a one-time, per-order basis unless otherwise agreed in writing.
2. Intended Use and Scope
All deliverables produced by MedWriters are:
- Reviewed by our Quality Review Team
- Intended to be final deliverables for the use of discretion by the client
- Not intended for regulatory submission, unless specifically requested
Deliverables do not replace the original source materials (e.g., protocols, study documents)
and should always be used alongside those materials.
3. No Medical, Regulatory, or Legal Advice
MedWriters does not provide:
- Medical advice
- Clinical decision-making guidance
- Regulatory strategy or regulatory submissions
- Legal advice
All content is informational and interpretive only, based on source materials provided by the client.
Responsibility for clinical, regulatory, and operational decisions remains solely with the client.
4. Client Responsibilities
You agree to:
- Provide accurate, complete, and lawful source materials
- Ensure you have the right to share any materials submitted to MedWriters
- Review deliverables for accuracy, completeness, and suitability for your intended use
MedWriters is not responsible for errors or omissions arising from incomplete, inaccurate,
or outdated source materials.
5. Confidentiality and NDAs
MedWriters treats all client materials as confidential.
Where required, confidentiality obligations may be governed by:
- MedWriters’ standard non-disclosure agreement (NDA), or
- A client-provided NDA mutually executed by both parties
6. Turnaround Time
Estimated delivery timelines (e.g., “24–48 hours”) begin only after:
- Payment has been successfully completed, and
- All required materials have been received, and
- Any required NDA has been fully executed
Delivery timelines are estimates, not guarantees, and may be impacted by scope, complexity,
or volume.
7. Revisions
Unless otherwise stated:
- One (1) round of revisions is included for clarity, formatting, or alignment with provided materials
- Revisions involving new source materials, expanded scope, or substantive changes may require additional fees
MedWriters reserves the right to determine whether a requested change constitutes a revision
or a new scope of work.
8. Payment and Fees
All prices are stated in U.S. dollars unless otherwise specified.
Payment is required in advance unless an invoice arrangement has been approved in writing.
Failure to remit payment may result in delayed or suspended services.
All sales are final once work has commenced.
9. Refund Policy
Due to the custom nature of the services:
- Refunds are not provided once work has begun
- If MedWriters is unable to deliver the agreed service due to internal error, a partial or full refund may be issued at MedWriters’ discretion
10. Intellectual Property
Client Materials
You retain all rights to materials you provide to MedWriters.
Deliverables
Upon full payment, you are granted a non-exclusive, perpetual license to use the deliverables
for internal purposes.
MedWriters retains all rights to:
- Templates
- Methodologies
- Workflows
- Processes
- Know-how used to produce deliverables
11. Limitation of Liability
To the maximum extent permitted by law:
- MedWriters’ total liability shall not exceed the amount paid for the specific service giving rise to the claim
- MedWriters shall not be liable for indirect, incidental, consequential, or special damages
12. Indemnification
You agree to indemnify and hold harmless MedWriters from any claims, damages, or liabilities
arising from:
- Your use of the deliverables
- Your breach of these Terms
- Materials you provide that infringe third-party rights
13. Termination
MedWriters reserves the right to refuse or terminate services if these Terms are violated
or if continued performance would be unlawful or unethical.
14. Governing Law
These Terms are governed by the laws of the State of Colorado,
without regard to conflict of law principles.
15. Changes to These Terms
MedWriters may update these Terms from time to time. Continued use of the services
constitutes acceptance of the updated Terms.
